Service Description: We provide online software-as-a-service (SaaS) applications under the brand "DataRavn's," enabling professional users to manage, back up, and secure their data stored in SaaS applications. These applications and related services are collectively referred to as our “Services.”

1.3. Supported Integrations: Our Services are available only for supported Integrations. Please refer to our website to learn about the currently supported Integrations and those that may be supported in the future.

1.4. Account Requirement: To use our Services, you must register for a DataRavn's account. Registration requires acceptance of these terms and conditions (the “Conditions”) and our Privacy Policy. By registering an account as a user, you accept these Conditions on behalf of the company you represent. We advise you to carefully read these Terms before accepting them.

1.5. Modifications: We may modify these Conditions from time to time for any valid reason, including changes in the business environment or policies. Changes will be published on our website and notified via email to registered users. Modified Conditions take effect fifteen (15) business days after notification unless stated otherwise. Continued use of our Services constitutes acceptance of the modified Conditions.

2. Right to Access and Use

2.1. Access and Use Rights: Subject to full payment of subscription fees, we grant you a limited, non-exclusive, and non-transferable right to access and use the Services during the chosen subscription term (“Subscription Term”). This right is granted for internal use only and may not be extended to third parties.

3. Account Registration

3.1. Eligibility: You must be at least eighteen (18) years old to register an account. 3.2. Account Setup: You will need an email address and password to register, and you must keep this authentication data confidential. Unauthorized access or breaches must be reported immediately, and we may block access if unauthorized use is suspected.

4. Subscription and Service Term

4.1. Subscription Plans: You can subscribe to different service plans as detailed on your subscription page. The Agreement remains effective for the chosen Subscription Term and renews under these Conditions for consecutive terms of the same duration. You may terminate or downgrade subscriptions via your subscription page, effective after the current term ends.

4.2. Trial and Promotional Subscriptions: Renewal or extension after a trial or promotional subscription will occur as a paid subscription per our current pricing.

4.3. Right of Withdrawal: Consumers cannot withdraw from subscriptions during a reflection period, as the Agreement concerns immediately performed software services.

5. Authorized Users

5.1. User Access: Services are solely for use by you or authorized users, with you bearing full responsibility. Adding users is conditional on your subscription plan.

6. Fees and Pricing

6.1. Payment: Subscriptions are subject to pricing plans listed on the pricing page and payable monthly or annually. Payment methods are specified on the subscription page, and fees are exclusive of taxes. Overdue payments may result in suspension, downgrade, or termination of services.

6.2. Refund Policy: Paid fees are non-refundable.

6.3. Price Changes: We reserve the right to modify price plans, effective upon the next renewal if notified at least thirty (30) days prior.

7. Suspension of Services

7.1. Suspension Rights: We may suspend access to Services for material or repeated breaches of Conditions, including potential legal liabilities, security risks, or disruption to other users. Notice will be provided unless urgent action is required.

8. Warranties and Disclaimers

8.1. Service Quality: We provide Services with a reasonable level of skill and care, conforming to specifications in our documentation. Liability is limited to correcting or replacing non-conforming Services.

8.2. Exclusions: We are not liable for modifications by you, untimely breach notices, third-party actions, or use not conforming to Conditions.

9. Modifications to Services

9.1. Service Changes: We may modify Services for performance, security, legal compliance, or to prevent abuse. Material changes will be notified, but urgent changes may occur without notice.

10. Acceptable Use

10.1. Prohibited Actions: You may not upload harmful content, distribute viruses, gain unauthorized access. Violations may lead to content removal or service suspension.

11. Your Files and Data

11.1. Data Ownership: You retain ownership of all data transferred and stored. We may use your data for providing Services, security, and enforcing Conditions. Data handling complies with our Privacy Policy.

12. Intellectual Property

12.1. Ownership: You retain ownership of your data, while we own the intellectual property rights in our Services, including software, documentation, and know-how.

13. Non-Infringement

13.1. Intellectual Property Warranty: We warrant our Services do not infringe third-party rights. Remedies include replacement, obtaining rights, or reimbursement.

14. Confidentiality

14.1. Confidential Information: Both parties agree to keep non-public information confidential for five (5) years post-termination, using it only as authorized under these Conditions.

15. Liability

15.1. Liability Limitation: We disclaim liability for indirect, consequential damages, and losses preventable by you or caused by third-party infrastructure.

16. Force Majeure

16.1. Force Majeure: We are not liable for failure or delay due to causes beyond our control, such as natural disasters, acts of God, or government actions.

17. Termination for Cause

17.1. Termination Rights: Either party may terminate for material breaches or insolvency events. Notice requirements apply as specified.

18. Effect of Termination

18.1. Post-Termination: Upon termination, all rights cease. You must migrate data within ten (10) days. We may delete data after this period.

19. Independent Contractors

19.1. Nature of Relationship: The parties are independent contractors, with no agency, partnership, or employment relationship.

20. Severability

20.1. Severability: If any provision is invalid, it will be replaced with a valid provision reflecting the original intent.

21. Applicable Law

21.1. Governing Law: These Conditions are governed by Danish Law, excluding international sale of goods conventions.
